Terms of Service

A note on this version. Reya is in pilot release. These Terms may be updated before general launch and from time to time after. We will give existing Users at least 30 days' notice of any material change. See Section 15.

Section 01

Introduction

These Terms of Service ("Terms") govern your use of Reya, a household management assistant delivered through WhatsApp ("the Service"). The Service is operated by SecondShift FZ-LLC, a Free Zone Limited Liability Company registered with the Ras Al Khaimah Economic Zone Authority (RAKEZ Licence No. 47030872), with its registered address at VUNE0042, Compass Building, Al Hulaila, Al Hulaila Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates ("we", "us", "our", or "SecondShift").

Every person who uses Reya is a User and a contracting party under these Terms. This includes the person who registers the household account (the "Admin") and every other household member who sends or receives messages through the Service (each a "Member"). The Admin, all Members, and any other person who interacts with the Service are referred to collectively in these Terms as "you", "your", or the "User".

By sending any message to Reya, or by otherwise using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.

These Terms should be read together with our Privacy Policy, which explains how we collect, use, and protect your personal data.

You should not rely on Reya as the sole source of any financial, legal, or compliance information. You remain responsible for verifying any information that matters and for keeping your own authoritative records where required.

Service evolution

The Service is in active development. Features may be added, modified, or removed. We will give reasonable notice of material changes that affect existing features or pricing.

Section 04

Accounts and Household Members

Registering a household

A Reya household account is created when a person completes the WhatsApp onboarding flow. The person who registers becomes the Admin for that household. The Admin's WhatsApp phone number is the unique identifier for the household account.

Household roles

A single Reya household account may include multiple Members in defined roles: Admin, Partner, Member, or Staff. The Admin invites other Members and assigns their roles. Members may include the Admin's spouse or partner, other adults in the household, and domestic staff.

Every Member is a contracting party

Each Member who interacts with the Service is bound by these Terms in their own right. Before sending their first message, each Member receives an onboarding message from Reya that introduces the Service and provides links to these Terms and the Privacy Policy. By sending their first substantive reply, a Member confirms that they have read, understood, and accepted these Terms and the Privacy Policy.

The Admin is responsible for ensuring that every Member they invite is aware of these Terms and the Privacy Policy before the Member sends their first message to Reya.

Joint and several responsibility

Where any Member breaches these Terms, both the breaching Member and the Admin may be held responsible for that breach. The Admin's responsibility under this Section is limited to breaches caused by Members the Admin has invited and not requested to be removed.

Withdrawal of a Member

A Member may withdraw from the Service at any time by notifying us at privacy@onereya.com or by asking the Admin to remove them. Withdrawal does not terminate the household account; it terminates that individual Member's participation. Data the Member contributed to the household record remains in the record unless the Member separately requests deletion of their personal data under the Privacy Policy.

Account security

You are responsible for the security of your WhatsApp account. Anyone with access to your WhatsApp number can interact with Reya as you. Notify us immediately at privacy@onereya.com if you believe your WhatsApp account or your access to the Service has been compromised.

Section 05

Subscription, Pricing, and Payment

Subscription tiers

Reya is a paid subscription service. Pricing tiers are published at onereya.com and may include monthly and annual billing options. Pilot pricing may differ from general launch pricing; the current tier and price will always be confirmed before any charge is made.

Free trial

We may offer a free trial period. At the end of the free trial, the subscription will automatically convert to a paid subscription at the then-current price for your selected tier unless you cancel before the trial ends.

Billing

The Admin is the billing party for the household account and is solely responsible for payment of subscription fees. Other Members are bound by these Terms but are not personally responsible for subscription payment unless they separately agree to assume that responsibility in writing.

Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Billing is processed by our third-party payment processor (currently Stripe). By providing payment details, the Admin authorises us and our payment processor to charge the recurring fee until cancellation.

Auto-renewal

Subscriptions automatically renew at the end of each billing period at the then-current price for your tier. You may cancel at any time before the next renewal.

Price changes

We may change the price of any subscription tier. We will provide at least 30 days' notice of price changes affecting existing subscribers, sent to the WhatsApp number associated with your account. If you do not agree to the new price, you may cancel before it takes effect.

Refunds

Subscription fees are non-refundable, except where required by applicable UAE law. We do not provide pro-rata refunds for partial billing periods on cancellation; you will retain access through the end of the period you have paid for.

If you are unhappy with the Service during your first 14 days as a paying subscriber, contact us at privacy@onereya.com and we will consider a refund on a case-by-case basis.

Failed payments

If a payment fails, we may suspend the Service until payment is received. If payment remains outstanding for more than 14 days, we may cancel the account.

Taxes

All prices are stated in UAE Dirhams (AED) and are inclusive of any applicable UAE VAT.

AI processing is not perfect. Reya may:

You acknowledge that Reya's outputs are provided for informational and household organisation purposes only. You are responsible for verifying any figure, fact, or recommendation that matters before relying on it for financial, legal, tax, or other significant decisions.

No financial advice

Nothing Reya communicates constitutes financial advice, investment advice, tax advice, legal advice, or any other regulated form of professional advice. If you require such advice, consult an appropriately qualified and licensed professional.

No guarantee of outcomes

We make no guarantee that using Reya will save you money, improve your finances, reduce stress, or produce any other particular outcome.

Section 08

Service Availability

Best-effort availability

We aim to provide a reliable service but we do not guarantee uninterrupted availability. The Service may be unavailable due to planned maintenance, updates, or unplanned outages. The Service is provided as a pilot release and availability may be more variable than in a generally launched product.

Third-party dependencies

The Service depends on third-party providers, including but not limited to:

We are not responsible for outages, errors, data loss, or service disruption caused by any third-party provider. If WhatsApp is unavailable in your region or to your account for any reason, the Service will not function for you, and we have no obligation to provide an alternative channel.

Maintenance and updates

We may perform maintenance, push updates, or temporarily suspend the Service. Where reasonably possible, we will give advance notice. No compensation or credit is provided for routine maintenance windows.

Intellectual Property

Our rights

All intellectual property in the Service — including the Reya name, the brand, the software, prompts, workflows, design system, the Sunday Report format, and all related materials — is owned by SecondShift or licensed to us. Nothing in these Terms grants you any rights in our intellectual property except the limited right to use the Service in accordance with these Terms.

Your data

You retain ownership of the personal data and content you send to Reya (your messages, receipts, voice notes, and the structured records derived from them). You grant us a non-exclusive, worldwide, royalty-free licence to process this data only as necessary to provide the Service and as described in our Privacy Policy.

We will not use your data to train AI models, sell it, or share it with advertisers. See the Privacy Policy for full details.

Anonymised aggregated data

Where you have given separate, optional consent for anonymised research as described in the Privacy Policy, we may use anonymised and aggregated patterns derived from your data. We will never share data that identifies you or your household.

Feedback

If you send us feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation. We will not associate your feedback with your name publicly without your consent.

Section 10

Termination

Termination by you

You may cancel your subscription at any time by sending a cancellation request via WhatsApp to the Reya service number, or by emailing privacy@onereya.com. Cancellation takes effect at the end of your current billing period.

You may request deletion of your account and data at any time by emailing privacy@onereya.com. Deletion is processed in accordance with our Privacy Policy.

Termination by us

We may suspend or terminate your account, without refund, if:

We may discontinue the Service or any feature at our discretion. If we discontinue the entire Service, we will provide at least 30 days' notice to active subscribers and will refund any amounts paid in advance for service periods after the discontinuation date.

To the maximum extent permitted by UAE law, the Service is provided "as is" and "as available". We make no warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

Limitation of Liability

Cap on liability

To the maximum extent permitted by UAE law, our total aggregate liability to you for any claim arising out of or relating to the Service or these Terms is limited to the total amount of subscription fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or AED 1,000, whichever is greater.

Excluded damages

We will not be liable for any:

Indemnity

You agree to indemnify and hold harmless SecondShift, its directors, officers, employees, and agents from any claim, demand, loss, damage, cost, or expense (including reasonable legal fees) arising out of:

Where you are the Admin, you additionally agree to indemnify us for any claim arising out of the conduct of a Member you invited to the household, where that Member's breach causes loss to us or to a third party, except where the breach occurred after the Admin requested in writing that the Member be removed.

Section 14

Privacy

Our processing of your personal data is governed by our Privacy Policy. By using the Service, you confirm you have read and understood the Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference. Where these Terms and the Privacy Policy address the same subject, the Privacy Policy governs in respect of personal data processing.

Section 15

Changes to These Terms

We may update these Terms from time to time. The current version will always be available at onereya.com/terms.

For material changes, we will provide at least 30 days' notice via WhatsApp to your registered number. If you do not agree to the changes, you may cancel your subscription before they take effect. Your continued use of the Service after the effective date of changes constitutes acceptance.

For minor or non-material changes (typo corrections, clarifications, formatting), we may update the Terms without separate notice.

Section 16

Governing Law and Dispute Resolution

Governing law

These Terms are governed by the laws of the United Arab Emirates and the regulations of the Ras Al Khaimah Economic Zone Authority (RAKEZ).

Dispute resolution

Any dispute arising out of or in connection with these Terms shall first be addressed by good-faith discussion between the parties. If not resolved within 30 days, the dispute shall be referred to the courts of Ras Al Khaimah, which shall have exclusive jurisdiction.

Language

These Terms are published in English. If translated into Arabic or any other language, the English version prevails in the event of inconsistency.

General

Entire agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability

If any provision is found to be unenforceable, the remaining provisions remain in full force.

No waiver

Our failure to enforce any provision is not a waiver of our right to do so later.

Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms to an affiliate, successor, or acquirer of substantially all of our business or assets.

Force majeure

We are not liable for failure to perform due to events beyond our reasonable control, including acts of government, war, civil unrest, natural disasters, internet or telecommunications outages, or third-party service failures.

Notices

We may send notices to you via WhatsApp to your registered number, or by email if you have provided one. You may send notices to us at privacy@onereya.com.

Relationship

Nothing in these Terms creates a partnership, agency, employment, or joint venture relationship between you and us.
